Terms of Service

Last updated: May 28, 2026

These Terms of Service ("Terms") govern your access to and use of Qoro, a business management platform operated by VyreLabs LLC ("VyreLabs," "we," "us," or "our"). By accessing or using Qoro, you agree to these Terms. If you use Qoro on behalf of a business or organization, you represent that you have authority to bind that organization, and "you" includes that organization.

1. The Service

Qoro provides tools for makers and small businesses to manage inventory, recipes, products, orders, storefront configuration, payment links, fulfillment, shipping-related workflows, and related operations. Some features may be labeled beta, early access, experimental, or otherwise pre-release. Those features may change, break, or be discontinued at any time.

2. Accounts and Organizations

You must provide accurate account information, keep your login credentials secure, and promptly notify us of any unauthorized access. You are responsible for activity under your account and for the actions of users you invite to your organization. Organization owners and administrators are responsible for managing access and ensuring that their members use Qoro in compliance with these Terms.

3. Customer and Business Data

You retain ownership of the business records, customer information, product content, images, order data, and other materials you submit to Qoro ("Customer Data"). You grant VyreLabs a limited right to host, process, transmit, display, and use Customer Data as needed to provide, secure, support, and improve Qoro and as otherwise described in our Privacy Policy.

You are responsible for the accuracy, legality, and appropriate use of Customer Data, including any personal information about your customers that you enter into Qoro or collect through a public storefront or checkout. You must provide any notices and obtain any permissions required for your own collection and use of that information.

4. Public Storefronts and Checkout

If you publish products, enable a public storefront, embed Qoro checkout, or generate payment links, you are responsible for the product descriptions, pricing, taxes, fulfillment terms, refunds, cancellations, customer service, and legal compliance of your offers. Qoro provides software tools; it does not become the seller of your products or services.

5. Payments, Fees, and Third-Party Services

Paid checkout, payment links, account onboarding, card handling, and certain shipping or fulfillment workflows may rely on third-party services such as Stripe, email providers, hosting providers, storage providers, and shipping carriers or label providers. Your use of those features may be subject to the third party's own terms and policies. You authorize us to share information with those providers as needed to provide the applicable feature.

VyreLabs may charge subscription fees, usage fees, platform fees, shipping markups, or other fees as shown in Qoro or in a separate order, invoice, or agreement. Unless otherwise stated, fees are non-refundable except where required by law or expressly agreed by VyreLabs.

6. Acceptable Use

You agree not to, and not to allow others to:

  • Use Qoro for unlawful, deceptive, harmful, infringing, or abusive activity.
  • Upload or process content you do not have the right to use.
  • Interfere with, disrupt, overload, scan, or attack Qoro or its infrastructure.
  • Attempt to bypass authentication, authorization, rate limits, tenant boundaries, or security controls.
  • Reverse engineer, copy, scrape, harvest, or misuse Qoro except as allowed by law.
  • Use Qoro to transmit malware, spam, or unauthorized commercial messages.
  • Use Qoro for regulated, high-risk, or safety-critical activities without our prior written consent.

7. Intellectual Property

Qoro, including its software, designs, workflows, documentation, trademarks, and other service materials, is owned by VyreLabs or its licensors and is protected by intellectual property laws. Except for the limited right to use Qoro under these Terms and the EULA, we do not grant you any ownership rights in Qoro.

If you provide feedback, ideas, or suggestions, you grant VyreLabs a perpetual, irrevocable, worldwide, royalty-free right to use them without restriction or compensation.

8. Privacy

Our Privacy Policy explains how we collect, use, and disclose information. By using Qoro, you acknowledge that we process information as described in that Policy.

9. Service Changes, Suspension, and Termination

We may modify, suspend, or discontinue any part of Qoro. We may suspend or terminate your access if you violate these Terms, create risk for Qoro or other users, fail to pay amounts due, or if required by law. You may stop using Qoro at any time. Termination does not affect rights or obligations that by their nature should survive, including payment obligations, ownership, disclaimers, limits of liability, and indemnity.

10. Disclaimers

Qoro is provided "as is" and "as available." To the fullest extent permitted by law, VyreLabs disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that Qoro will be uninterrupted, error-free, secure, or that any data will be preserved without loss.

11. Limitation of Liability

To the fullest extent permitted by law, VyreLabs and its affiliates, officers, employees, contractors, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, or substitute services, even if we have been advised of the possibility of such damages.

To the fullest extent permitted by law, our total liability for any claim related to Qoro or these Terms will not exceed the greater of $100 or the amounts you paid to VyreLabs for Qoro in the 3 months before the event giving rise to the claim.

12. Indemnification

You will defend, indemnify, and hold harmless VyreLabs and its affiliates, officers, employees, contractors, and licensors from claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising from your Customer Data, your products or services, your storefront or checkout activity, your violation of these Terms, or your violation of law or third-party rights.

13. Governing Law

These Terms are governed by the laws of the State of Colorado, without regard to conflict of law principles. The state and federal courts located in Colorado will have exclusive jurisdiction for disputes arising from or relating to these Terms or Qoro, except where applicable law requires a different forum.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date and may provide additional notice through Qoro or by other appropriate means. Your continued use of Qoro after updated Terms become effective means you accept the updated Terms.
